Upgrade portable version

The scenario:
1) My desktop, Totalcmd upgraded to 8.0 32/64bit
2) On USB stick, TotalCmd 7.6x portable, 32bit

I just copied everything from my desktop's c:\totalcmd except *.ini and default.* to the USB stick, and it seems to work IK. Is this the right way to upgrade the portable version?

If you want to keep the old settings of Totalcmd 7.6x I think your procedure is correct. But if you want to pick the settings of the desktop version of Totalcmd 8.0 you should use the tc2usb.zip tool, that you can find on official totalcmd site.

That depends on how you created the portable version (manually / through some tool / U3 / ...). But in general, overwriting TC's old files with new ones works just fine.
Also, there is no TC 7.6x, just 7.5x.
